Who we are

We are Goodiebox ApS., a company registered at Artillerivej 86, 5th floor, 2300 Copenhagen, Denmark, CVR no. 34 08 72 88 (together with our subsidiaries, parent companies, or sister companies, "Goodiebox", "we", "us", "our").

Terms

Depending on your location, you will land on different submenus of our website or webshop, all of which are operated by Goodiebox and referred to as our "website" or "Goodiebox webshops". These terms and conditions (the "Terms") apply to any interaction we may have; if you access and use our website, if you subscribe to one of our services, or when you purchase a product (collectively our "Subscriptions" or "Products"). These terms and any applicable privacy policies, additional terms, or updates constitute your agreement with Goodiebox.

Take a moment

Before placing an order, you confirm that you have read, understood, and agreed to be bound by and will comply with these terms. If you have any questions, you can always contact us at hello@goodiebox.io or check our contact page for more contact options. It is important that you understand these terms as they are intended to protect you as a consumer. If you do not accept the terms, you should not use or access our website, nor should you order our subscriptions or products. The offers available on our websites and in the Goodiebox webshops are exclusively directed at consumers who complete the purchase for a purpose that cannot be attributed to their commercial or professional activity, and solely for personal use.

Changes to the terms

You are bound by the conditions that apply at the time you place your order with Goodiebox. Occasionally, we may change our terms to reflect any changes in our subscriptions, products, and offers. In such cases, we will publish the update directly on our website, and it will then apply to you from the moment it is updated, unless such a change is material or significant. In that case, we will inform you in advance, and you will have fourteen (14) days from the time we sent you the notification to object via email (and therefore cancel your active subscription and/or refrain from ordering our products in the future).

Binding Agreement and Frequency

1.1 Starting a subscription or placing a webshop order

You can only order a subscription or a product if you are 18 years or older. As a registered user (a "member"), you only have the right to have one account with Goodiebox (while you can have multiple subscriptions linked to the same member account), and we reserve the right to detect and investigate if we suspect that you have multiple accounts, which may ultimately lead to a suspension.

When you have ordered a subscription or a product, we confirm the transaction by sending you a confirmation message to the email address you have provided. The agreement between you and us only starts when we have sent you the confirmation email, or when the product has been delivered to you. The confirmation of receipt of the order that follows immediately after your order does not constitute an acceptance of the contract from us, and the presentation of the Products is not a legally binding offer, but a non-binding online catalog. By completing the order, you submit a binding order for the product(s) you wish to purchase. It is Goodiebox's own responsibility and at its own discretion to accept to enter into an agreement with you. All descriptions, images, references, features, content, specifications, products, and prices of Products described on the website can be changed at any time and without notice (products available in Goodiebox's webshops are subject to stock availability and our agreements with the brands we collaborate with). Therefore, the presentation of products does not imply or guarantee that these products will be available at all times.

Your subscription continues until it is terminated, as described in section 9.1. below.

1.2 Country-specific websites

Depending on your location, we may offer different products and services. You should therefore ensure that you have landed on the correct subdomain of our website, and you must not use a VPN or other means to land on another country page. We reserve the right to refuse an order if it is not placed correctly (e.g., if you live in Denmark, you should not attempt to place an order from our Belgian website, and for logistical reasons, we may cancel your order even after you have received a confirmation email).

Price and Payment

2.1 Prices for products and subscriptions

With the exception of obvious errors (including but not limited to typos), the prices on the website include VAT and apply at all times. Any additional fees that may be applicable from time to time will be added to your shopping cart before you proceed to payment or be available via your member profile (also known as "Member Universe").

In the event of a price change for the subscription, we will inform you so that you have at least fourteen (14) days from the moment you receive the notification by email to object. Your objection will then result in your subscription being terminated, unless you have paid fully in advance (e.g., for prepaid subscriptions or subscriptions with a binding period, the subscription will end at the expiry of the fixed period). Goodiebox cannot be held responsible in the event that a member has not provided their correct information and as a result has not received notifications. Members are responsible for checking all their inbox folders, and Goodiebox cannot be held responsible if the notification lands in spam.

The same applies to any changes regarding applicable fees. You will be informed reasonably in advance so that you will be able to object and cancel your subscription. This means that if you did not object after being duly informed, Goodiebox will be entitled to charge the new or changed fee on top of your next regular payment fee, and until you decide to cancel your subscription. Goodiebox is not responsible if you have provided inaccurate contact information, and no refunds will be possible accordingly.

Please note that the prices of our subscriptions and products may vary depending on the offer you choose, e.g., if you have two active subscriptions, you may be offered a special price offer, which expires upon termination of one of the subscriptions (and you will then get the regular price for the subscription).

2.2 Regular payment plan and onboarding plan (billing cycles)

Subscriptions normally consist of a payment paid according to a regular schedule for a regular subscription payment ("the regular subscription payment" which is drawn on the 'payment day'), e.g., a monthly or quarterly payment for our Classic and Crush boxes. When you sign up for a subscription, you agree to pay for it continuously until the agreement is terminated, either by you if you cancel your subscription, or by us at our sole discretion, unless you have signed up for a limited-time offer with prepayment (where possible). The first payment is due immediately after the creation of your subscription. Depending on the date you sign up, the next 1-3 payments are due in accordance with your specific plan (the "Onboarding Schedule"). When the onboarding plan ends and the subsequent periodic subscription payments are due, it is according to the regular payment plan based on the offer you selected. Please note that this means depending on the moment you subscribe – and depending on the subscription type you have chosen – you may have consecutive payments within the first two months of your subscription, and the payments in the onboarding plan may not be as regular as those within the regular payment plan. If you are ever in doubt, contact our Team Happiness so they can clarify what the case will be in your specific situation.

2.3 Payment method

When you sign up for a subscription or redeem a gift card, you must choose a payment method, and you may be redirected to the website of the payment service provider. Goodiebox is not responsible for the terms of these third-party providers, and you agree that Goodiebox collects your payments according to your ongoing payment arrangement using this chosen payment method without further approval, unless and until you change your preferred payment method directly via your member account – no later than one (1) day before the payment date. You are aware that when you choose an international payment card (such as Visa and/or Mastercard), the amount for your regular payment plan will be reserved on the registration date and until your subscription or product is shipped. You acknowledge and agree that you are responsible for changing your payment method during the binding period if necessary (e.g., in the event of the expiry date of your payment card or other reasons for non-capture). If for any reason your payment is not completed, we reserve the right to attempt to draw the payment again on a daily basis, or send you a payment link directly (e.g., via email or SMS). Furthermore, if your payment is not made within five (5) days from the regular payment date, we reserve the right to invoice an extra shipping fee (currently the equivalent of 2 euros and which may change from time to time) to cover such extra handling.

2.4 Suspension (termination) due to non-payment

If we are unable to draw the amount you owe after several attempts, we may decide to suspend your subscription or stop the delivery of the product until you have paid the outstanding amount, or terminate the agreement with you entirely. Please note that any suspension due to non-payment or any failure or delay in exercising our rights and remedies under these terms regarding your non-payment does not constitute a waiver of our rights or remedies and does not prevent or limit the further exercise of such right or any other right or remedy on our part.

Goodiebox reserves the right to further investigate and take action in the event that a member unlawfully reverses the amount for their subscription or a customer purchased a product, both in cases where: (i) they received their order(s) in accordance with these terms and did not exercise their right to withdraw or return the box/product (only if applicable), and (ii) in cases where they used the refund option as a means to cancel their subscription or purchased products, or simply to get a refund without a valid reason (e.g., fraudulent behavior).

Any unfair reversal may be followed by a collection action from Goodiebox directly (currently an extra fee of the equivalent of 7.50 euros may be imposed), when necessary, or via Goodiebox's partners, such as a debt collection agency. Goodiebox may use third-party service providers (i.e., debt collection agencies) to recover unpaid and/or overdue invoices along with any reminder fees incurred by Goodiebox due to an unlawful reversal/fraudulent behavior (e.g., currently the equivalent of 7.50 euros per instance, which may change from time to time). Furthermore, the debt collection agency may independently add its own administrative or legal costs. It is therefore strongly recommended that you check the cancellation policy, the right of withdrawal, and the return policy (as described in sections 9, 10, and 11 below) to avoid ending up in this unpleasant situation, and always prioritize dialogue with our Team Happiness if you should have any concerns regarding a payment or delivery. If your payment was made correctly and your order was delivered successfully, but an external event occurred outside our control (e.g., but not limited to, if your bank reverses the amount and returns it to your account), we reserve the right to register this payment again without having to inform you in advance and without time limit, except for applicable legal requirements.

2.5 Goodiepoints as a means of payment

We may offer payments with Goodiepoints. If so, the required number of Goodiepoints to purchase a product will be stated on our website along with all necessary information to use this means of payment. The value of combined Goodiepoints cannot be considered any kind of cash amount and cannot be exchanged for money. Although this is part of a member's loyalty program, you acknowledge and agree that this payment transaction cannot and will not be considered a "non-free electronic service" and will not give rise to any payout.

Promotions, offers, and discounts cannot be applied retrospectively and cannot be combined with existing discounts or price promotions. Goodiebox may change any promotion available on its website at any time and at its sole discretion, and will inform you, if applicable, in case of a specific condition that must be met. The price of your subscription may be affected by any product/subscription combination you may have activated. Thus, if you change your choice of Subscriptions and thereby no longer meet the conditions to benefit from a particular promotion, offer, or discount, we reserve the right to charge you a different monthly price. In the event of a change in your Goodiebox program, we will always do our best to inform you prior to the change; however, you are responsible for checking the conditions when using your Goodiepoints. In addition, all payments made with Goodiepoints are not eligible for further promotions or discounted prices.

Delivery Time

3.1 Webshop order

When you purchase a product on our Goodiebox webshops, the delivery time is stated on the website or in your order confirmation.

3.2 Subscription boxes

When you subscribe to a membership, your first box will be sent within five (5) working days from your first payment date, unless otherwise notified on our website (and depending on stock inventory).

If you have started your subscription and the payment was completed, but you have failed to provide the correct/complete delivery address, we will attempt to remind you of the missing delivery details. Depending on our stock inventory, we cannot guarantee that you will receive the box that was available when you started your subscription. The next box in your subscription is always delivered around the same time of the month, depending on your type of subscription.

3.3 Incorrect shipping information

Please note that we cannot be held responsible if you have provided us with incorrect or incomplete delivery information, or if you have been unable to collect your order at the delivery address you have chosen. You cannot and should not change your delivery address after payment is confirmed, and in the case of a failed delivery due to such an error and/or if we have to send you the order again, we reserve the right to charge an extra reasonable amount to compensate for any extra costs for logistics. We encourage you to immediately contact our customer service (Team Happiness) in case of a problem with your delivery information, but we cannot be held responsible for delayed delivery due to incorrect or incomplete information. Goodiebox's responsibility ends when the order has been delivered to the specified address; it is then your responsibility to collect it correctly.

3.4 Delays outside of our control

In the event of delays beyond our control, we will contact you as soon as possible to inform you, and if the delay becomes significant (even if it is not due to us but an external event), we reserve the right to cancel your order and refund any payment you may have made in that connection. If a box is sold out and therefore no longer available during your subscription, we reserve the right to replace it and, if that is not possible, to not deliver it. In the latter case, your payment will be refunded.

3.5 Pause due to repeated failure to collect your box

If you fail to collect your box at the designated collection point more than twice in a row, Goodiebox reserves the right to pause your subscription until the situation is resolved. If this happens, please contact Team Happiness to find a delivery option that suits you better and to reactivate your subscription. You can also ask Team Happiness if the box or boxes you could not collect are still in stock and if Goodiebox may send them to you again (subject to a possible extra delivery fee, as informed by Team Happiness). If it is not possible to send the box again with extra costs, Goodiebox will refund the subscription fee minus any shipping and logistics fees resulting from you not picking up your box (see section 11.2 below). In any case, be aware that Goodiebox cannot be held responsible if there is no way to ensure that the box was actually not collected and sent back to us, and in any case, Goodiebox is not bound by the obligation to refund you if you contact Team Happiness later than 30 days after failure to collect the box in question.

Goodiepoints

Goodiepoints may be credited at our sole discretion when you complete an action (such as writing a product review). These points can be used for a variety of things, including but not limited to purchasing products when they are available. Goodiepoints are awarded to your account; they are nominative, cannot be transferred or exchanged. Goodiepoints are made available for a period of 12 months, and the balance expires if they are not used within this period (when used, Goodiepoints are withdrawn in the following order: from oldest to most recent; in the event of the expiry of the oldest Goodiepoints, your balance may decrease but not be completely cancelled if you have accumulated additional Goodiepoints within the last 12 months). You can check your balance at any time via your member account. Goodiebox may change or cancel its Goodiepoints program and will inform you in advance if deemed necessary. If you terminate your subscription and subsequently have no subscription linked to your member account, all your outstanding Goodiepoints (if any) will expire automatically.

Happy Invite, Discount Codes, and Other Promotions

5.1 Happy Invite link

The Happy Invite link is a personal link intended to be sent by active members to present Goodiebox to their family, friends, acquaintances, colleagues, and other persons in their circle. It allows members to share discount codes to their network via their own communication channels to attract new members in return for some benefits such as receiving Goodiepoints, or other types of benefits announced by Goodiebox. Happy Invites must under no circumstances be used for commercial purposes and/or in other contexts than those originally intended by Goodiebox. It is therefore not permitted to use the trademark "Goodiebox" in URL combinations to attract visitors who sign up using the aforementioned Goodiebox discount code.

When the Happy Invite link is used to activate a new subscription, the member who sent such a link may receive announced benefits, while the new member receives a special promotion or other announced benefit. Goodiebox reserves the right to limit each member to 12 successful invitations to the Happy Invite program, and to change this maximum number of successful invitations at any time and at its sole discretion (and is therefore not bound by these terms). Once the applicable limit is reached, the member can still present Goodiebox to their family, friends, acquaintances, colleagues, and other persons nearby, but it will not give rise to further announced benefits (it will, however, give rise to the promotion applicable to the new member). Any form of alleged manipulation of the system (e.g., using a falsified IP address, using a falsified identity, or an automated system) will result in the withdrawal of the announced benefits and termination of the member's account. Note that Happy Invite promotions, links, and discount codes can only be used once per physical person (and not once per created account). To prevent fraudulent behavior, if Goodiebox believes that the new account created is owned by an existing member, we may not award Goodiepoints or award the announced benefit. If you are in this case and believe we have made a mistake, please contact our customer support (Team Happiness), and we will investigate your case.

5.2 Promotions and discount codes

Promotions and discount codes may be issued to a member or Webshop customer as part of a marketing campaign ('Offer'). Depending on the rules for a specific campaign, they can be used in relation to Subscriptions and/or Products.

Promotions and discount codes may only be used once per physical person (and not once per created account), unless otherwise stated. Goodiebox reserves the right to revoke Goodiepoints and/or other announced benefits obtained unlawfully (e.g., in the event that the same person used different links and/or discount codes by creating multiple accounts) without prejudice to its right to claim compensation for any direct, special, incidental, consequential, or exemplary damages (including, but not limited to, damages for loss of profit) arising from misuse of Happy Invites or other applicable loyalty programs. Goodiebox further reserves the right to block an account or a transaction as well as verify the identity of the person who has exhibited alleged behavior outside the intended use as described here in the terms. If you believe Goodiebox made a mistake by blocking your account or transaction, please contact us immediately, and we will check your account with you.

Goodiebox Webshops

These terms apply to all products available in Goodiebox webshops. All descriptions, images, references, features, content, specifications, products, and prices of Products described on the website and especially in Goodiebox webshops can be changed at any time and without notice (products available in Goodiebox webshops are subject to stock inventory and our agreements with the brands we collaborate with). Therefore, the inclusion of products does not imply or guarantee that these products will always be available. Products in Goodiebox webshops may have both a "normal" price and a "member price". The member price applies to members who have an active subscription. Limited Editions have a limited stock and are available as long as stock lasts; Goodiebox cannot be held responsible if the limited editions are no longer available and delivery is therefore impossible. Therefore, Goodiebox reserves the right to limit the number of products purchased online (not limited to Limited Editions, but any available products).

Goodiebox Online Platforms

7.1 Use of social media platforms

Goodiebox owns and/or manages pages on social media, e.g., on Facebook, Instagram, or TikTok. Goodiebox reserves the right to reject messages that violate the published guidelines and to remove and/or block users in the event of inappropriate behavior. We also encourage everyone to read the terms of use for each specific online platform before they start using it. Although Goodiebox has no obligation to monitor submitted content, Goodiebox may do so from time to time. We thus reserve the right at our sole discretion to remove content we find inappropriate. Goodiebox will under no circumstances be held responsible in any way for content or materials from third parties, including but not limited to any errors or omissions in content or loss or damages of any kind arising from the use of such content. Goodiebox does not endorse, represent, or guarantee the completeness, truth, accuracy, or reliability of such content, nor does it endorse any opinion expressed in it. We specifically prohibit publishing content that infringes or violates copyrights and/or other intellectual property rights (including the right to privacy and publicity) of any person or entity.

7.2 Prohibited resale

In addition, we specifically prohibit the systematic partial/total resale of ordered products (or products received in boxes as part of a subscription) for commercial purposes. Goodiebox reserves the right to monitor and cancel the subscription in the event of suspicion of such behavior, and further claims for damages (especially if it damages the brand's product image and reputation).

Use of Our Website

8.1 Website content

As a user, you agree that content, materials, text, images, videos, graphics, trademarks, logos, music, software, product design, and other elements available on the website or provided to you belong to Goodiebox or its licensors, affiliates, partners and are protected by copyrights and trademark rights and/or other intellectual property or proprietary rights and laws. You therefore acknowledge and agree that you may only use the website for personal and non-commercial use. This means that you acknowledge and agree that you may not sell, license, distribute, copy, reproduce, transmit, publish, adapt, edit, change, or create derivative works from any content or material on the website. Goodiebox grants you a personal, limited, non-transferable, non-exclusive license to access and use the website. Goodiebox reserves the right at its sole discretion and without notifying you to revise the products and services available on the website and to change, suspend, or discontinue any aspect of the website. Goodiebox is not responsible to you or any third party for doing this, and Goodiebox may also limit the use of the website or restrict your access (wholly or partially) without notice or penalty. You are responsible for the content you upload or post on this Website, and Goodiebox recommends that you also read the privacy policy before proceeding. Always keep in mind that you must not use any part of Goodiebox's copyrighted material for commercial purposes without obtaining a license from Goodiebox or Goodiebox's licensors, affiliates, and/or partners.

8.2 Your engagement through reviews, comments, and other reactions

At Goodiebox, we value your engagement. Your ratings help us improve our products and services and thus your customer/member experience. When you provide us with reviews, please keep the following in mind: Grant of License — You grant Goodiebox a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to use, copy, distribute, display publicly, modify, create derivative works from, and sub-license such materials or parts of such materials. You hereby represent, warrant, and undertake that the material you provide does not contain anything (including, but not limited to, text, images, music, or videos) that you do not have the full right to grant us the license set out above. Lawful Content — You further represent, warrant, and undertake that the material you provide does not contain libelous or otherwise illegal, abusive, or obscene material. Goodiebox has the right to use the content you have submitted without incurring obligations of confidentiality, attribution, or compensation to you. Privacy and Terms — All reviews are subject to these terms together with the privacy policy regarding the processing of your personal information for this purpose. Online Media Content — The same as above applies to your comments and reactions on our social media platforms and community pages as well as for content you tag us in. When you provide us with content for our various pages or identify us on content, you grant us and our related companies, agents, licensees, sub-licensees, contractors, successors, legal representatives, assignees, and third-party service providers, their respective retail partners, marketing or PR agencies, and other affiliates (collectively the "licensed parties") a worldwide, irrevocable, royalty-free, and non-exclusive license to use, copy, distribute, publicly display, modify, create derivative works from, and sub-license such materials or parts of such materials in any manner determined at the licensed parties' sole discretion, including but not limited to on web pages and social media pages operated by the licensed parties, in promotional emails and advertisements and in all other marketing, promotional, and advertising initiatives and in all now or later known media, without any obligation whatsoever to you. Furthermore, according to our privacy policy, we may have the right to use your username, image if available, geolocation (country level), and other available information. Prohibited Content — Goodiebox prohibits anyone from publishing inappropriate content and prevents anyone from adding a review, comment, or other content, either via the member account or on its online platforms, which may include: defamatory, offensive, harassing, stalking, threatening content, or content that otherwise violates the legal rights of others (e.g., the right to privacy and publicity); obscenities, discriminatory language, or other language not suitable for a public forum; advertising, "spam" content, or references to other products, offers, or websites; email addresses, URLs, phone numbers, postal addresses, or other types of contact information from others or from yourself; unreasonably critical or malicious comments on other content posted on the site or its authors; files containing software or other materials protected by intellectual property law (or by the right to privacy and publicity), unless you own or control such rights or have explicitly received all necessary consents for this; or, files or content containing viruses, corrupted files, or other similar software or programs that may damage the operation of another device.

Termination and Automatic Renewal of Your Goodiebox Subscription

9.1 Subscription termination

If you terminate your subscription, you lose your Goodiepoints and access to the member universe. You also lose the history of the products you have received. If you reactivate your subscription after a previous cancellation, you may thus receive a product that you have received in a previous box. Please note that if you have more than one active subscription, it has no effect on the status of the others if you only cancel one of them.

Subscription box without minimum commitment — When you subscribe without any minimum commitment, we charge you the first payment and then a recurring payment at the agreed subscription price and on the basis of the ongoing payment. Automatic renewal: This type of subscription continues until you or we decide to cancel it, at any time and for no reason (according to the conditions explained in detail below). If you cancel the subscription at least one (1) day before the payment date according to the regular payment plan, you do not have to pay for the next box, and your subscription ends immediately.

Gift cards for Subscription or Products — We may offer gift cards for redeeming a specific number of boxes or for ordering a product at a specific value (depending on the available offers). Once the gift card is redeemed, it must be used fully, and there is no option to pause and resume it. The person who received the gift card must create a member account to enter the gift card details and redeem it. A payment method may be requested during account creation, but if the new member redeeming the card does not wish to renew the subscription, he/she can of course cancel it at any time during the subscription period and no later than fourteen (14) days before expiry. Automatic renewal: gift cards are paid in advance, and after its expiry, the subscription continues automatically, and fees are charged according to the specified payment method. Gift cards are valid for two (2) years from the date of purchase, and any unredeemed gift card after such a period will automatically be cancelled.

Digital-only subscription — We may offer digital-only subscription especially to access our digital content through the member universe (offers that vary from time to time, e.g., mindfulness or yoga sessions, blog, etc.), get member prices on our webshop, and be able to upgrade at any time to receive physical boxes (depending on the available offers). There is no minimum commitment for the digital-only subscription, and we charge you a first payment when you have signed up for the subscription, and then a recurring payment at the agreed subscription price and terms. Automatic renewal: This type of subscription continues until you or we decide to cancel it, at any time and for no reason. In the event of unsubscribing from the digital-only offer, and if you do not upgrade to another available offer, we will stop charging you for the next billable period, and you will lose your access to our digital content and other benefits (and your Goodiepoints, if you have any, will be cancelled).

9.2 Skipping a subscription

You can skip your subscription for a month free of charge. You can skip a month directly via your member universe at least one (1) day before the next capture date you wish to skip. If you do so, you will not be charged for the skipped month, nor will you receive the box. Your subscription resumes automatically on the next payment date. It is not possible to skip your subscription for two consecutive payment dates, and you will be informed of your next option to skip when you validate your action at the end of this 1-month period. This temporary option to skip does not change the dates on which the fee for the regular payment plan is due (after automatic resumption).

9.3 Cancellation policy

There are two ways to terminate your membership: Directly via your member account — Either cancellation or pausing of a subscription can be done via the link available on your member account. Through request — You can contact Team Happiness and be guided to complete the cancellation, unless you explicitly ask Team Happiness in your request to do it for you. In the latter case, your request must be clear and unambiguous, e.g., "Will you cancel the subscription for me?", and then Team Happiness will process your request as soon as possible, often within five (5) working days. Please be aware that if your ongoing payment falls within this period, you may end up paying for the next box – therefore we always recommend using the link on your member account at least one day before the payment date or contacting Team Happiness well in advance. The 2 aforementioned channels are accepted as media for cancellation without further options. Prohibited methods — Do NOT attempt to unsubscribe via regular mail – although we will always do our best to accommodate you, be aware that we do not accept terminations via mail, and it is your responsibility to follow our termination policy. ALSO NOTE that it is important to acknowledge that although Goodiebox may accept to process cancellation requests from third-party service providers at its sole discretion, acting on behalf of members, and with whom Goodiebox has no partnership connection (only because it is more convenient for members), such third-party service providers must comply with these terms, and especially this section on termination. Therefore, any termination submitted by mail will not be taken into account. For third-party service providers, Goodiebox reserves the right to request proof of power of attorney for such a third party to ensure that the termination is truly desired by the member. Goodiebox cannot be held responsible for a misunderstanding between the member and the third-party service provider and therefore encourages any member to preferably use the termination link or send an email directly to our customer support (Team Happiness). The same applies to a cancellation requested by a third person on behalf of the member. Goodiebox will immediately cancel the subscription if requested by a parent of a child under 18, by the owner of the bank account from which the ongoing payment is drawn, or by a designated administrator. If you fall into another category, please contact our customer support (Team Happiness), and they will guide you.

Right of Withdrawal/Consumer Right of Withdrawal

10.1. Right to withdrawal

If you are entitled to use the right of withdrawal (see section 10.3), you have the right to withdraw within fourteen (14) days from: – the day your first box was delivered (if you have subscribed to a subscription plan), or – the day the product you purchased from our Goodiebox webshop was delivered, or – the day you paid for the gift card, as long as it has not been redeemed within this withdrawal period. To exercise such a right, you must inform Goodiebox via email using a clear statement (you can use the attached model cancellation form, which is not mandatory). To comply with the withdrawal period, it is necessary that you send such notification before the expiry of the withdrawal period. If you decide to use your right of withdrawal, you must send the box or product back to us in accordance with the instructions from Team Happiness no later than 14 days from the day you notified us of your decision to withdraw from the contract. To ensure that the refund is handled as quickly as possible, you must contact us via email and provide us with proof of return. The refund is pending until the package is received at our warehouse and the contents are inspected. Please send your box/product to: Goodiebox ApS, Artillerivej 86, 5th floor, 2300 Copenhagen S, Denmark. You are responsible for paying your own shipping costs for returning your box/product, and you must absolutely be able to track the package and inform Team Happiness about it. If you do not return the box or product or do not track the package, it may result in it being impossible to refund you.

10.2. Consequences of using the right of withdrawal

If the contract is cancelled after your first box or the purchased product has been sent, Goodiebox will refund the payments regarding the first box or the purchased product minus applicable fees you were informed of at the time of your payment (e.g., the energy fee). Refund will be made without delay and no later than within fourteen (14) days from the day Goodiebox received notification of the cancellation and received the item(s) to be returned. Goodiebox uses the same means of payment that was used for the original transaction, unless otherwise explicitly agreed, and no fees are imposed for such a refund. No cancellation will be considered valid if the product is lost due to lack of process on your part.

Please note: The right of withdrawal does not apply to personalized orders (such as, for example, "Build-Your-Own-Box"). Any such order cannot give rise to any return or refund (except in the case of a defective product under the conditions described below).

Return Policy

11.1 Damaged products

Unless you are entitled to exercise your right of withdrawal, as described in section 10 above, you are not entitled to return a subscription box or a product, except if one of the products in your subscription box, or if the product you ordered, is damaged. In this case, you must absolutely contact our Team Happiness within 14 days from delivery of the subscription box or products and follow the steps as set out in this section. Please do not send any items back unless you have been explicitly asked to do so. Depending on the circumstances, we will either replace the damaged item at our own expense or refund you (at Goodiebox's discretion). No replacement or refund will be possible if you did not follow our process and did not contact us via email within the correct timeframe.

11.2. Packages returned due to failed delivery

If you do not collect your box or your ordered product at the specified delivery address, you will not be able to claim any refund, and such behavior will also not be considered a cancellation of your subscription. This means that if a subscription box or a product is returned to our warehouse and the reason is not with us or with the carrier, and you demand a subsequent refund, Goodiebox will be entitled to deduct all costs related to this failed delivery (such as shipping costs to the delivery address and back to us, in addition to any extra handling costs, up to the equivalent of 7.5 euros) from the amount to be refunded. We strongly recommend that you contact us immediately if any problems arise with your delivery, or if you have problems with a specific item. Furthermore, you do not have the right to claim a lost item reversed to your bank account if you have not claimed that the subscription box or product was lost due to our error beforehand. Any unfair reversal may be followed by a collection case, from us directly or via a debt collection agency (along with the applicable dispute fee) as described in detail in section '2.4. Suspension due to non-payment' in these terms.

Responsibility, Liability, Indemnity, Force Majeure

12.1 Blocking of member account

In the event of non-compliance with these terms, non-payment of an order, incorrect information when creating an account, or possible damage in violation of Goodiebox's interests, we reserve the right to block access to the website and the services offered or, depending on the severity of the violation, to cancel your subscription and your member account without any claim for compensation being possible. We also reserve the right to refrain from entering into an agreement with a person who has already violated the aforementioned rules.

12.2 Third-party content

Goodiebox, in its capacity as a third party, is not responsible for the content on its partners' websites or for conflicts between members, customers, and partners' websites or partners' brands. As part of initiating a check-out for a subscription, you must create a member account and provide us with certain information. It is not possible to complete an order or a subscription without creating such a member account. Therefore, we recommend you read carefully and concurrently our privacy policy to fully understand how we use and process the information we collect from and about you. The information you provide must be truthful at all times.

12.3 Security and confidentiality

Your password must be kept secure, and you are responsible for the security of it. Goodiebox cannot be held responsible for any use or unauthorized access to your member account or for other breaches of security. You agree to notify Goodiebox immediately, or without undue delay, after you have noticed unauthorized access to or use of your member account. Goodiebox may suspend or terminate your access at any time with or without notice. Information you use to log in to your member account (e.g., your name and password) is personal and confidential. This information can only be changed at the initiative of the member or by Goodiebox, e.g., if the password has been forgotten. However, you remain fully responsible for the use of your access information and must keep it secret. Any disclosure of the information can in no way be blamed on Goodiebox, and Goodiebox can in no way be held responsible for damages resulting from your personal and confidential information being disclosed and used by a third party.

12.4 Limitation of liability

To the extent permitted by law, Goodiebox, its parent company, subsidiaries, affiliates, or any of their respective officers, directors, employees, agents, successors, subsidiaries, suppliers, partners, or third parties providing information on the website, can under no circumstances be made liable to a user of this website (user, customer, member), or any other person or entity for any direct, special, incidental, consequential, or exemplary damages (including but not limited to damages for loss of profit, loss of data, or loss of use) arising from the use or inability to use the website, regardless of whether it is based on warranty, contract, or negligence, even if Goodiebox has been notified of or should have been aware of the possibility of such damages or losses. To the extent permitted by law, the total liability of Goodiebox, its affiliates, or any of their respective officers, directors, employees, agents, successors, subsidiaries, suppliers, partners, or third parties providing information on the website, for direct damages shall under no circumstances exceed the total amount you have paid to Goodiebox in connection with the event that gave rise to such liability, in the preceding twelve months.

12.5 Indemnification

You agree to hold Goodiebox, its parent company, subsidiaries, divisions, as well as their respective officers, directors, employees, and agents harmless and defended against all claims, obligations, damages, costs, and expenses for defense, including attorney fees, arising in any way from or related to your use of the website, your violation of these terms, defamatory or offensive content you have posted on the website, or your violation of any law or the rights of a third party.

12.6 Force majeure

Goodiebox is not responsible for failure or delayed performance of membership obligations caused by events outside our control ("Force Majeure event"). A force majeure event means any act, event, circumstance, or occurrence or any combination of such events or circumstances (or any of the consequences thereof) which makes it impossible for Goodiebox to fulfill all or part of its obligations under these terms; which is unpredictable and beyond Goodiebox's reasonable control – provided that Goodiebox has taken all steps that could reasonably be expected to have been taken to prevent such an act or event from occurring (or any of its consequences). Force Majeure events may include, but are not limited to, strikes, lockouts, or other industrial actions; fire, floods, explosions, pandemics; wars or hostilities, government requirements, civil unrest or threat of terrorist attack; inability to use railways, ships, aircraft, cars, or other public or private transport; and inability to use public or private telecommunications networks. Our membership service is considered suspended during the period when a force majeure event exists. Goodiebox will make all reasonable efforts to bring the force majeure event to an end or find a solution that makes it possible for us to fulfill our membership obligations despite such a force majeure event.

Miscellaneous

Product Liability — Additionally, Goodiebox is not responsible for damages caused by a product in a box; unless it is Goodiebox's direct fault, you must contact the third-party manufacturer or supplier directly if you have a complaint about their product. Transfer of rights and obligations — You may not assign your rights or obligations arising from your subscription without our prior written consent. Choice of law and disputes — These terms and all questions regarding the website are subject to and shall be interpreted in accordance with Danish law. Disputes arising in connection with these terms and all questions regarding the website shall be decided by the Danish civil courts. Alternative dispute resolution — The European Commission provides a platform for online dispute resolution (ODR), which you can find at http://ec.europa.eu/consumers/odr/. Goodiebox does not participate in dispute resolution procedures at a consumer arbitration board. Provisions — If one or more of the provisions in these terms are declared invalid by law or a legally binding court decision, the remaining provisions remain fully in force. Fraud protection — As part of our procedures for order processing – we reserve the right to refuse to process an order due to suspicion of fraud, unauthorized or illegal activity. If we suspect fraudulent, unauthorized, or illegal activity, we may refuse your order or contact you to confirm such an order. We also reserve the right to cancel accounts or refuse to deliver to certain addresses due to suspicion of fraud, unauthorized or illegal activity. We take these measures to protect our members and customers as well as ourselves against fraud and other unauthorized or illegal activities. Please note that when we process your personal information for the purpose of this fraud prevention, we always act in accordance with our privacy policy. Waiver/remedies — Goodiebox's failure to partially or fully exercise its rights or waiver of a violation of these Terms does not prevent the subsequent exercise of such rights or be considered a waiver of a subsequent violation. Country-Specific Factors

If you have not picked up your box or your product and either want us to send it again or ask for a refund, you acknowledge and agree that fees may be deducted from the originally paid price. These fees vary depending on your location and delivery method, as described in the table below. PLEASE NOTE THAT UNDER NO CIRCUMSTANCES CAN A REFUND OR RE-DELIVERY OCCUR IF YOU HAVE NOT CONTACTED TEAM HAPPINESS WITHIN 1 MONTH FROM THE DELIVERY DATE. Goodiebox will not be able to track your box or your product after this delay and will therefore not be responsible for refunding a package that cannot be identified as correctly returned. We therefore recommend that you contact us immediately or as soon as possible when you have not picked up your box or your product, and after this period we have no responsibility if you have more than one (1) uncollected box or product.

Our primary focus is to create the best experience and create as much value for our members as possible every month. The reason we are able to create amazing value and great savings is that we do everything in a structured process and with a high volume. It gives us competitive prices and shipping rates, which we pass on to our members. However, every time something out of the ordinary happens, such as a box not being collected at a parcel shop in time and returned to us or similar, we unfortunately incur significant extra costs related to handling, storage, and reshipping. These costs are outside our control and not part of the normal flow and are therefore extraordinarily high. Therefore, it is important that members do their part and collect the box within the period offered by the carrier chosen by the member. Any refund requested for an uncollected box will as a natural consequence be deducted for all expenses related to the reshipment, extra handling, storage, etc. Similarly, if reshipment is requested, extra fees for shipping are necessary to cover the extra logistical costs (reshipping the box for the second time).
